Commercial register

The cantonal register in which companies are entered; for an LLC or a public limited company, entry is what brings them into existence.

Each canton keeps its own commercial register. Entry is compulsory for a sole proprietorship from 100,000 francs of annual turnover, and constitutive for a limited liability company or a public limited company, which acquire legal personality only at that moment.

Entry makes the company subject to debt enforcement by bankruptcy and obliges it to keep commercial accounts. It also publishes the persons authorised to represent the entity and the extent of their powers — information every supplier and every landlord consults.
